Terms of service

These terms cover using this website and, where a separate signed agreement does not say otherwise, engaging Nondescripts for work. Written to be understood without a lawyer present.

Effective September 3, 2026 Last reviewed September 3, 2026

The agreement

Using this site means you accept these terms. If you engage me for work, the signed proposal or statement of work governs the project and these terms fill in anything it does not address. Where the two conflict, the signed document wins.

What is being sold

Design and systems services: brand identity, websites, print and collateral, presentations, imagery, and the workspace, email and automation work behind them. Services are described on this site in general terms. Nothing on this site is an offer or a quote. Scope and investment are fixed in a written proposal before work starts.

Proposals, scope and change

  • Proposals are valid for 30 days unless stated otherwise.
  • Every engagement has a written scope and a stated number of revision rounds.
  • Work outside that scope is quoted separately and does not begin until you approve it in writing. You will never receive a surprise invoice.
  • Timelines assume you respond to feedback requests within five business days. Longer gaps move the delivery date, not the price.

Payment

  • Project work is 50% on signature, 50% on delivery, unless the proposal sets a different schedule.
  • Invoices are due on receipt unless the proposal says net 15 or net 30.
  • Late invoices accrue 1.5% per month, or the maximum the law allows if that is lower.
  • Work may be paused on accounts more than 30 days overdue.
  • Deposits are non-refundable once work has begun, because the time was reserved and cannot be resold.

Monthly retainers and auto-renewal

The Partnership engagement is a monthly retainer that renews automatically. California law requires these terms to be set out clearly and conspicuously, so here they are, in full:

Automatic renewal terms

  • It renews by itself. The Partnership retainer continues month to month, automatically, until you cancel. There is no fixed end date.
  • What you are charged. The monthly amount is the figure stated in your signed agreement. It is charged on the same day each month to the payment method on file.
  • How long each term lasts. One calendar month, repeating.
  • How to cancel. Email contact@nondescripts.com with the word “cancel”. That is the entire process. You will never be asked to schedule a call, complete a retention survey, or speak to anyone to stop a subscription you started with a signature. Cancellation is confirmed in writing within one business day.
  • When cancellation takes effect. At the end of the current paid month. You keep everything already delivered and everything in progress is finished or handed over.
  • Notice before price changes. Any change to the monthly amount is sent to you in writing at least 30 days before it takes effect, and you may cancel before it applies.
  • Confirmation. After you sign up, you receive an acknowledgement by email that repeats these terms and the cancellation method, in a form you can save or print.

Agreeing to a Partnership retainer requires ticking a separate box confirming you have read these renewal terms. That box exists because the law requires consent to the renewal terms specifically, not just to the agreement as a whole, and because nobody should be surprised by a recurring charge.

Ownership and rights

  • You own the final work. On full payment, all rights in the delivered final deliverables transfer to you.
  • I keep the working files and the method. Source files, unused concepts, and the underlying tools, templates and systems remain mine. Source files can be transferred by separate agreement.
  • Third-party assets are licensed, not sold. Fonts, stock imagery and plugins carry their own licenses, which are passed through to you and named in the handoff. Where a license must be held in your name, it is bought in your name.
  • You warrant what you supply. Anything you give me to use (logos, copy, photography), you confirm you have the right to use.
  • Rights transfer on full payment. Until then, the work is licensed to you for review only.

Portfolio use

I may show completed work in my portfolio, on this site, and in proposals, including your name and logo, unless your agreement says otherwise. If a project is confidential, say so and it is excluded: before, during or after. Confidential business information is never published either way.

What I need from you

Projects run late for one reason far more often than any other: feedback that arrives in pieces. So, one consolidated set of comments per round, from whoever actually has final say, within five business days. Assets and access supplied when requested. Someone empowered to approve. That is the whole list.

Warranties and disclaimers

Work is delivered with reasonable professional skill and care. Beyond that, this site and its content are provided “as is” without warranties of any kind, express or implied. I do not warrant that the site will be uninterrupted or error-free, and I cannot guarantee any specific business outcome. Design changes how a business is perceived, not whether its product works.

Links to other sites are provided for convenience. I am not responsible for what is on them.

Limitation of liability

To the fullest extent the law allows, total liability for any claim arising from an engagement is limited to the amount you paid for that engagement. Neither party is liable to the other for indirect, incidental or consequential damages, including lost profits. Nothing here limits liability for fraud, gross negligence, or anything else that cannot lawfully be limited.

Ending an engagement

Either of us may end a project with 14 days' written notice. You pay for work completed to that date and receive it. Retainers follow the cancellation terms above. Neither of us needs to give a reason.

Governing law and disputes

These terms are governed by the laws of the State of California. If something goes wrong, the first step is a conversation. If that fails, both parties agree to attempt mediation in Ventura County before filing anything. Failing that, the courts of Ventura County, California have exclusive jurisdiction.

If any provision here is found unenforceable, the rest stays in force.

Changes to these terms

These terms may be updated; the effective date at the top will change with them. Changes are not retroactive. The version in force when you signed governs your engagement. Continuing to use the site after a change means you accept the current version.
